The Minimum Capital Amount Has Been Increased for Joint Stock Companies and Limited Liability Companies

According to the presidential decree published in the Official Gazette numbered 32380 dated November 25, 2023, the minimum capital amount for joint stock companies and limited liability companies has been increased. Accordingly, the minimum statutory capital amount specified as fifty thousand Turkish Liras for joint stock companies in the first paragraph of Article 332 of the Turkish Commercial Code No. 6102 has been raised to two hundred and fifty thousand Turkish Liras, and for non-public joint stock companies that have adopted the registered capital system, the minimum initial capital amount specified as one hundred thousand Turkish Liras has been increased to five hundred thousand Turkish Liras. As for limited liability companies, the minimum capital amount specified as ten thousand Turkish Liras in the first paragraph of Article 580 of the same Law has been raised to fifty thousand Turkish Liras.

This decision will come into effect on January 1, 2024. In the statement made by the Ministry of Trade regarding the matter, it is stated: "These amounts will be applicable for newly established joint stock and limited liability companies as of January 1, 2024. Existing companies with capital below the specified amounts are not required to increase their capital at this stage; however, it is advisable for them to increase their capital to at least the mentioned amounts to strengthen their equity structures."
